These Terms of Service (the “Terms”) govern your access to and use of the GEOpetra geotechnical design software, including its websites, web applications, calculation tools, drawings, and reports (collectively, the “Service”). The Service is provided by GEOpetra (“GEOpetra,” “we,” “us,” or “our”). By creating an account, clicking to accept these Terms, or otherwise accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you must not access or use the Service.
The Service is a calculation and drafting tool only. It is not a professional engineering service, and using it does not create an engineer–client relationship between you and GEOpetra. GEOpetra does not practice engineering, does not act as your engineer of record, and provides no engineering opinion, certification, stamp, or seal. Nothing produced by the Service constitutes engineering advice or a recommendation that any design, value, or result is correct, complete, code compliant, or suitable for any particular purpose or site condition.
The Service is intended to be used only by, or under the direct supervision of, a qualified, licensed professional engineer who is competent in the relevant subject matter. All inputs, assumptions, methods, and outputs must be independently reviewed, verified, and — where required for construction or permitting — sealed by a licensed professional engineer before any reliance or use.
GEOpetra takes no responsibility for the accuracy, completeness, reliability, or applicability of any result, calculation, drawing, report, or other output of the Service. Calculation methods, default values, correlations, and assumptions are simplifications of complex physical behavior and may contain errors, may not match the method or code edition required for your project, and may be inappropriate for your specific soil, structural, environmental, or site conditions.
You are solely and entirely responsible for your engineering work product and for any use of the Service’s output. This includes, without limitation: selecting appropriate analysis methods; providing correct and representative inputs; checking and validating every output by independent means; confirming compliance with all applicable codes, standards, and regulations; and exercising independent professional judgment. You assume all risk arising from your use of the Service and its output, including in the design, construction, or evaluation of any real structure. You agree that you will not rely on the Service as the sole basis for any decision affecting life safety, property, or the public welfare.
You must be at least 18 years old and able to form a binding contract to use the Service. You are responsible for the information you provide, for maintaining the confidentiality of your account credentials, and for all activity that occurs under your account. Notify us promptly of any unauthorized use. You may not share your account or allow others to use it except as permitted in writing by us.
You agree not to:
You retain ownership of the project data, inputs, and files you submit to the Service (“Your Content”). You grant GEOpetra a limited license to host, process, and use Your Content solely to operate, secure, support, and improve the Service. You represent that you have the rights necessary to submit Your Content and that doing so does not violate any law or third-party right. You are responsible for maintaining your own backups of Your Content.
The Service, including its software, calculation engines, user interface, documentation, and trademarks, is owned by GEOpetra and its licensors and is protected by intellectual-property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business or professional purposes. All rights not expressly granted are reserved.
Some features may be offered free of charge and others for a fee. Where fees apply, they will be described at the point of purchase. Except as required by law or expressly stated, fees are non-refundable. We may change pricing prospectively on notice.
The Service and all output are provided “as is” and “as available,” without warranty of any kind. To the maximum extent permitted by law, GEOpetra disclaims all warranties, express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. GEOpetra does not warrant that the Service will be uninterrupted, error-free, or that any result will be accurate, complete, or suitable for any purpose.
To the maximum extent permitted by law, GEOpetra and its owners, employees, and licensors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or for any damages arising out of or relating to the design, construction, failure, or performance of any structure or project, however caused and under any theory of liability, even if advised of the possibility of such damages. To the maximum extent permitted by law, GEOpetra’s total aggregate liability arising out of or relating to the Service or these Terms will not exceed the greater of (a) the amount you paid to GEOpetra for the Service in the twelve months before the event giving rise to the claim, or (b) one hundred U.S. dollars ($100).
You agree to defend, indemnify, and hold harmless GEOpetra and its owners, employees, and licensors from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Service, your engineering work product, your reliance on or use of any output, Your Content, or your breach of these Terms.
We may suspend or terminate your access to the Service at any time if you violate these Terms or to protect the Service or other users. You may stop using the Service at any time. Sections that by their nature should survive termination (including Sections 1, 2, 6, 8, 9, 10, and 13) will survive.
We may modify the Service or these Terms from time to time. When we make a material change to these Terms, we will update the version and effective date above and require you to review and accept the updated Terms before continuing to use the Service. Your continued use after acceptance constitutes agreement to the updated Terms.
These Terms are governed by the laws of the State of Michigan, USA, without regard to its conflict-of-laws rules. You agree to the exclusive jurisdiction of the state and federal courts located in Michigan for any dispute arising out of or relating to these Terms or the Service, except where prohibited by applicable law.
